STANDARD TERMS AND CONDITIONS OF SALE


    1. Precedence of Terms
      The client expressly waives the application of its own general terms and conditions, regardless of when they are communicated. Any deviation from these Terms and Conditions shall only be valid if explicitly agreed to in writing by Vertec LLC in advance.
    2. Payment Terms
      Unless otherwise specified on the invoice or purchase order, all invoices issued by Vertec LLC are payable within twenty-one (21) business days from the invoice date. In the event of non-payment by the due date, Vertec reserves the right to charge a fixed late payment penalty of ten percent (10%) of the outstanding balance. Vertec may suspend the provision of services without prior notice in the event of delayed payment.
    3. Debt Collection and Legal Costs
      Should any invoice remain unpaid for more than sixty (60) calendar days beyond its due date, Vertec reserves the right to engage a third-party debt recovery agency. All related costs, including legal fees and collection expenses, will be the sole responsibility of the client.
    4. Withholding Taxes
      Clients located in jurisdictions that require withholding taxes on payments to foreign entities shall be solely responsible for such tax remittances. Under no circumstances shall Vertec be liable for any local tax obligations, and the full invoiced amount shall remain payable to Vertec LLC, exclusive of any withholding or remittance requirements imposed by the client’s country.
    5. Service Commitment and Limitation of Liability
      Vertec commits to delivering high-quality services within the mutually agreed timeframes. However, all obligations are obligations of means, not results. Vertec shall not be held liable for indirect damages, nor shall it be required to participate as a third party in any litigation or claims brought against the client by end users or other third parties.
    6. Claims and Notifications
      Any claims relating to the services rendered or goods delivered must be submitted in writing by certified mail to Vertec’s registered office within eight (8) calendar days of the date of delivery or completion of services. Claims submitted outside this timeframe will be deemed inadmissible.
    7. Governing Law
      All contractual relationships with Vertec LLC shall be governed exclusively by the laws of the United States, without regard to its conflicts of law principles.
